Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Synchro Education website at synchroeducation.com, including any subject-specific chat pages, the AI chat widget, and any forms available on it (together, the "Site"). The Site is operated by Synchro LLC ("Synchro," "we," "us," or "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms cover the Site only. Use of the Synchro platform by schools, institutions, and other customers is governed by a separate written agreement, and where that agreement conflicts with these Terms, the agreement controls.

1. Eligibility

The Site is intended for educators, administrators, publishers, and other institutional

decision-makers. You must be at least 18 years old to use the Site. The Site is not directed to students or children, and we do not knowingly allow anyone under 13 to use it.

2. The AI Chat Widget and Demo Chat Pages

The Site includes an AI chat widget and subject-specific chat pages that demonstrate how Synchro's AI tutors work. By using them you acknowledge that:

● Responses are generated automatically by AI and may be inaccurate, incomplete, or out of date. They are provided for demonstration purposes only and are not professional, educational, legal, or other advice.

● The demo is not the full Synchro platform. Features, content, and behavior in the demo may differ from what is delivered under a customer agreement.

● You should not submit confidential information, student data, or personal information about anyone other than yourself through the widget.

● We may review, store, and use chat interactions as described in our Privacy Policy, including to evaluate and improve the widget.

3. Demo Requests, Meetings, and Marketing Sign-ups

When you submit a form to book a meeting, request a demo, or sign up for updates, you agree that the information you provide is accurate and that we may contact you about Synchro

products and services. You may opt out of marketing emails at any time using the unsubscribe link in any message or by emailing hello@synchroeducation.com. Submitting a form does not create a customer relationship or any obligation on our part to provide the Synchro platform.

4. Acceptable Use

You agree not to:

● Use the Site in any way that violates applicable law or these Terms

● Attempt to gain unauthorized access to the Site, its servers, or any connected systems

● Interfere with or disrupt the Site, including by introducing malware or overloading our infrastructure

● Use bots, scrapers, or other automated means to access the Site or extract content, except for standard search engine indexing

● Attempt to reverse engineer, extract the underlying prompts, training data, or model configuration of, or otherwise circumvent the intended operation of the chat widget

● Use the chat widget to generate content that is unlawful, harassing, hateful, sexually explicit, or that infringes the rights of others

● Misrepresent your identity or affiliation when submitting a form or contacting us

● Use the Site to develop or benchmark a competing product

We may suspend or block access to the Site for anyone we reasonably believe has violated these Terms.

5. Intellectual Property

The Site and all of its content, including text, graphics, logos, design, software, and the chat widget, are owned by Synchro or its licensors and are protected by copyright, trademark, and other intellectual property laws. "Synchro" and the Synchro logo are trademarks of Synchro LLC. You may view and print Site content for your own internal evaluation of our products. You may not otherwise copy, modify, distribute, or create derivative works from the Site or its content without our written permission.

Sample course content shown on the Site may include material licensed from third-party publishers and is provided for demonstration only.

6. Your Submissions

Any messages, questions, or other content you submit through the Site ("Submissions") remain yours, but you grant Synchro a non-exclusive, worldwide, royalty-free license to use, store, reproduce, and analyze Submissions to operate and improve the Site and our products. You represent that you have the right to provide any Submission and that it does not violate the rights of any third party. We are not obligated to keep Submissions confidential.

If you send us feedback or suggestions about our products, we may use them without restriction or compensation to you.

7. Third-Party Links and Services

The Site may contain links to third-party websites or rely on third-party services (such as scheduling, CRM, analytics, and AI model providers). We do not control and are not responsible for third-party sites or services, and your use of them is subject to their own terms.

8. Disclaimers

THE SITE, THE CHAT WIDGET, AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT

AI-GENERATED RESPONSES WILL BE ACCURATE OR RELIABLE.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SYNCHRO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED

U.S. DOLLARS ($100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Synchro and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Site, your Submissions, or your violation of these Terms or any law or third-party right.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be brought

exclusively in the state or federal courts located in Maricopa County, Arizona, and you consent to the personal jurisdiction of those courts. Each party waives any right to a jury trial to the extent permitted by law.

12. Changes to the Site and These Terms

We may modify or discontinue the Site at any time without notice. We may also update these Terms from time to time. We will post the revised Terms on the Site with a new "Last updated" date, and your continued use of the Site after that date constitutes acceptance of the revised Terms.

13. General

These Terms, together with our Privacy Policy, are the entire agreement between you and Synchro regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them freely, including in connection with a merger, acquisition, or sale of assets.
